Job description: What is the opportunity?
This is a fantastic opportunity to become a member of the Bank Of Ireland UK Company Secretary Team and build key relationships with the UK Chair, UK CEO and the UK Executive Committee by providing advice and guidance on the conduct of business, governance and compliance. You will be working in a dynamic, fast paced environment as a key member of the team responsible for corporate governance, secretarial and advisory services to the Board of Bank Of Ireland UK. Working in this environment will provide you with an excellent opportunity to broaden and deepen your skills.
In this role you will:
- Enabling and supporting the effective and efficient governance of the BOI UK Board and the Board Committees by working with the respective Chairs to develop an appropriate work programme for the Board and relevant Committees;
- Procuring and reviewing the content of Board papers for transparency and completeness and responding to information requests from Directors; Minuting of discussions, conclusions and decisions at Board & Committee meetings and following up on specific actions arising;
- Maintaining an up-to-date knowledge of legal and governance developments and practices and providing a range of advice to colleagues on their responsibilities and the implications for them of any changes which arise;
- Supporting the UK Company Secretary in delivering high standard governance and secretariat services to the Board and Board Committees
- Ensuring timely completion of statutory filings as well as maintenance and timely update of statutory records and registers
- Leading, motivating and developing a professional team so as to build and maintain the highest Secretarial standards, expertise and service to key partners.
Essential Qualifications
Third level academic qualification in a relevant field e.g. Chartered Secretary; Law; Accounting, Business Degree etc. and familiarity with Company Law and the Listing Rules, the Market Abuse Rules, Corporate Governance and current secretarial practices.

- Seasoned experience of undertaking company secretarial support to substantive boards/ committees, ideally in a regulated Financial Services provider
- Strong influencing, communication and negotiating skills, with the presence and knowledge to enrich relationships and have impact at senior levels of the organisation;
- A strong eye for business, with an understanding of how Boards operate and an ability to identify the essential information Executives need to enable them reach sound business decisions;
- Excellent communicator, with high impact and well-developed influencing and partner management / engagement skills;
- The ability to distil lengthy and complex discussion material and gather succinctly the critical issues that led to the conclusions/decisions taken;
- Shown ability to handle multiple demanding initiatives concurrently, balancing multiple priorities and complete tight timeframes
- Proven ability to lead, manage, motivate and develop impactful teams.
More about the team
The UK Company Secretarial team is responsible for providing high quality company secretarial and governance support to the Chair of the Bank Of Ireland UK Board, the UK Board of Directors, and Board Committees in addition to various other Group subsidiary boards and committees. We are responsible for coordinating, attending and minuting board and committee meetings, maintaining statutory records and ensuring that relevant documents are filed with Companies House within statutory timeframes.
