Team and role overviewBII’s Business Integrity and Corporate Governance (BI & CG) team plays an important role in reinforcing BII’s reputation as a responsible investor and ensuring BII meets its regulatory commitments with respect to the FCA, as well as supporting our investees to meet the standards and requirements set out in BII’s .We do this by identifying and managing integrity and corporate governance risks in BII’s investment pipeline and portfolio and working to enhance private sector corporate governance and integrity risk management standards in our target geographies. We believe that BI & CG risk management that is aligned with best practice can have a developmental effect by enhancing a company’s reputation, improving internal controls, and ultimately helping it seek commercial backing. Robust business integrity practices help mitigate reputational, operational and compliance risks, and protect companies from the large fines and jail time that can result from unethical behaviour. Good corporate governance provides the foundation for sustainable and investor-ready companies. Our work is critical to safeguarding BII’s reputation, meeting the BII Board’s low risk appetite for integrity issues and meeting our shareholder’s expectations.The candidate will have a direct reporting line to a Corporate Governance Manager.PurposeBII is looking to hire a Business Integrity and Corporate Governance Executive as maternity cover on a 12-month full-time contract. The Executive will support BII’s corporate governance risk management by identifying, assessing and mitigating corporate governance deficiencies in the pipeline and portfolio stages of BII’s investments. The successful candidate will also proactively monitor BII’s portfolio investments, engaging with investees to improve their corporate governance.ResponsibilitiesPipeline & portfolio

  • Lead on pre-investment corporate governance assessments to identify weaknesses, risks and areas of improvement and to formulate recommendations to address identified risks;
  • Support in following up with portfolio companies on implementation of recommended measures in business integrity and corporate governance;
  • Monitor for corporate governance in specific parts of our investment portfolio, managing relationships with portfolio companies;
  • Ensure that identified risks are reported, monitored and where necessary escalated to the Corporate Governance Manager and/or BI Director or Compliance;
  • Present emerging corporate governance issues at quarterly portfolio risk management reviews;
  • Foster strong and effective relationships with BII’s investment teams, as well as other operational teams;
  • Support in the development of good corporate governance practices, anti-corruption, anti-money laundering and/or counter terrorism-financing, sanctions compliance and anti-fraud controls to help investees professionalise and improve business integrity outcomes.

Operations

  • Promote the culture of good corporate governance at BII by assisting in developing internal capacity building training sessions on corporate governance;
  • Support the strengthening of BII’s internal policies and procedures and tools for assessing corporate governance and integrity risks in the pipeline and portfolio;
  • Support the Business Integrity team with information management, reporting and record-keeping as per internal procedural requirements.

The candidateBackground, skills, aptitudeEssential skills

  • Three-five years’ experience conducting corporate governance assessments and engaging with senior stakeholders within private companies in emerging markets, both remotely and onsite, to develop corporate governance improvement plans as needed to minimize and mitigate potential corporate governance risks and add value;
  • Experience in identifying, assessing and addressing corporate governance, financial crime and integrity risks, preferably within private equity or investment banking, and involving clients in Africa and Asia across a wide range of sectors e.g., infrastructure, manufacturing, financial institutions;
  • Knowledge of the corporate governance standards, such as the OECD Guidelines on Corporate Governance, the UK Code on Corporate Governance, the King Code on Corporate Governance and the DFI Corporate Governance Methodology;
  • Some knowledge of aspects of the UK regulatory requirements on anti-money laundering and counter terrorism financing (AML/CFT), and/or anti-bribery and corruption;
  • Experience in developing and evaluating corporate governance assessment methodologies;
  • Excellent written and oral communications skills, including in distilling and presenting complex or sensitive topics for strategic audiences;
  • University degree and preferably a postgraduate qualification in a relevant discipline, or at least 3 years’ relevant professional experience in corporate governance in emerging markets.

Desirable/Technical Skills

  • Consulting experience on corporate governance in emerging markets;
  • Some knowledge of international legislation or standards to address money laundering, terrorist financing, and/or corruption;
  • Competency in one or more languages relevant to BII’s target geographies would also be an advantage.
